Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of TotalCtrl, a software-as-a-service platform operated by TotalCtrl ("we", "our", or "us"). By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Acceptance of Terms

By registering for an account, you represent that you are at least 18 years old (or the age of majority in your jurisdiction), that you have the authority to enter into these Terms on behalf of yourself or your organization, and that all information you provide is accurate and complete.

2. Description of Services

TotalCtrl provides a suite of business applications including, but not limited to: CRM, Help Center, Community, Website builder, Support ticketing, Project management, Calendar & booking, Accounting, Surveys, Issues tracker, File transfer, Notes, and related tools. Features and availability may change at our discretion with reasonable notice.

3. Account Registration and Security

You must provide accurate, current, and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account at security@totalctrl.com.
You may not share your account credentials or permit others to access the service using your account.

4. Acceptable Use

You agree not to use TotalCtrl to:

Violate any applicable laws or regulations.
Infringe the intellectual property rights of any third party.
Upload, transmit, or distribute malicious code, viruses, or harmful content.
Attempt to gain unauthorized access to our systems or other users' accounts.
Send unsolicited commercial messages (spam) to other users or third parties.
Engage in any activity that disrupts, degrades, or interferes with the platform or its users.
Reverse engineer, decompile, or otherwise attempt to extract source code from the platform.
Resell or sublicense access to the service without our prior written consent.

5. Free Trial and Subscriptions

New workspaces may be eligible for a free trial period as specified at the time of registration. After the trial ends, continued access requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis. Prices are listed on our pricing page and may be updated with 30 days' notice to existing subscribers.

6. Payment and Billing

All fees are non-refundable except as required by applicable law or as explicitly stated in a separate agreement.
If you fail to pay any fees when due, we may suspend or terminate your access to the service.
You authorize us to charge your payment method on file for all applicable fees.
Taxes may apply depending on your location and will be added to your invoice where required.

7. Intellectual Property

The TotalCtrl platform, including its software, design, trademarks, and content created by us, is owned by TotalCtrl and protected by intellectual property laws. These Terms do not grant you any ownership rights in the platform.

You retain full ownership of all content and data you create or upload within TotalCtrl. You grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the services.

8. Data and Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using TotalCtrl, you consent to our data practices as described therein.

9. Confidentiality

Each party agrees to keep confidential the other party's non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly known through no breach of this section.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOTALCTRL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR €100.

12. Indemnification

You agree to defend, indemnify, and hold harmless TotalCtrl and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms or if we reasonably believe your account is being used for fraudulent or illegal activity. Upon termination, your right to access the service ceases and we will delete your data in accordance with our data retention policy.

14. Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or in-app notification. Your continued use of the service after the notice period constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Norway, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Oslo, Norway, except where mandatory consumer protection laws in your country of residence require otherwise.

16. Miscellaneous

Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and TotalCtrl with respect to the service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
